These Terms of Service are governed by and construed in accordance with the laws of the Republic of Korea. By using this Platform, you agree to submit to the jurisdiction of Korean courts and comply with Korean law.

Welcome to Sparklz! These Terms of Service ("Terms") govern your access to and use of the Sparklz mobile application and related services (collectively, the "Platform"). Please read these Terms carefully before using our Platform.

1. Acceptance of Terms

By creating an account, accessing, or using the Sparklz Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Platform.

2. Platform Description

Sparklz is an influencer marketing platform that connects beauty and lifestyle influencers ("Influencers") with brands and businesses ("Clients") for marketing campaigns. The Platform facilitates campaign discovery, enrollment, content collaboration, and compensation management.

3. Eligibility

To use the Platform as an Influencer, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Maintain at least one active and authentic social media account on supported platforms (Instagram, YouTube, TikTok, or other platforms as specified)
  • Meet minimum follower requirements as specified for specific campaigns
  • Not have been previously suspended or removed from the Platform

4. Account Registration and Security

4.1 Account Creation

You must provide accurate, current, and complete information during registration, including your real name, valid email address, date of birth, and social media account information. You agree to update your information promptly if it changes.

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

4.3 One Account Per Person

Each individual may maintain only one Influencer account. Creating multiple accounts may result in termination of all accounts.

5. Influencer Obligations

5.1 Authentic Content

You agree to create original, authentic content that accurately represents your genuine experience with products or services. Misleading, false, or deceptive content is strictly prohibited.

5.2 FTC Compliance and Disclosure

You must comply with all applicable advertising laws and regulations, including but not limited to:

  • Federal Trade Commission (FTC) guidelines on endorsements and testimonials
  • Clearly disclosing your material connection with brands using appropriate hashtags (#ad, #sponsored, #partner) or platform-specific disclosure tools
  • Ensuring disclosures are clear, conspicuous, and not hidden among other hashtags
  • Following platform-specific advertising policies (Instagram, YouTube, TikTok, etc.)

5.3 Campaign Requirements

When participating in campaigns, you agree to:

  • Follow all campaign briefs, guidelines, and deadlines
  • Submit content for approval when required
  • Make reasonable revisions as requested by Clients
  • Not accept competing campaigns without disclosure when exclusivity is required
  • Maintain posted content for the duration specified in campaign terms

5.4 Social Media Account Authenticity

You represent and warrant that:

  • Your social media accounts are authentic and owned by you
  • Your followers are genuine and not artificially inflated through bots or purchased followers
  • Your engagement metrics accurately reflect real user interactions

6. Campaign Participation

6.1 Campaign Enrollment

You may apply to participate in campaigns through the Platform. Campaign enrollment is subject to Client approval and meeting specified requirements. Enrollment does not guarantee selection.

6.2 Campaign Terms

Each campaign may have specific terms, including deliverables, timelines, content requirements, and compensation. By enrolling in a campaign, you agree to comply with those specific terms.

6.3 Content Approval

Clients may require content approval before posting. You must submit content by specified deadlines and incorporate reasonable feedback. Failure to obtain required approval before posting may result in non-payment or campaign removal.

6.4 Campaign Cancellation

Campaigns may be cancelled by Clients or Sparklz at any time. If a campaign is cancelled after you have completed work, you may be entitled to partial compensation at Sparklz's discretion.

7. Content Guidelines and Prohibited Content

7.1

You agree not to create, submit, or post content that:

  • Is false, misleading, or deceptive
  • Infringes on intellectual property rights of others
  • Contains hate speech, discrimination, or harassment
  • Is sexually explicit, obscene, or inappropriate
  • Promotes illegal activities, violence, or self-harm
  • Contains malware, spam, or phishing attempts
  • Violates any applicable laws or regulations
  • Damages the reputation of Sparklz, Clients, or their products

7.2 Content Removal

Sparklz reserves the right to remove or require removal of any content that violates these Terms or is otherwise objectionable.

8. Intellectual Property Rights

8.1 Your Content

You retain ownership of original content you create. However, by participating in campaigns, you grant:

  • To Clients: A license to use, reproduce, modify, and distribute your campaign content as specified in campaign terms
  • To Sparklz: A non-exclusive, royalty-free license to use your content for Platform promotion, case studies, and marketing purposes

8.2 Platform Content

All Platform content, features, and functionality (including trademarks, logos, and software) are owned by Sparklz or its licensors and are protected by intellectual property laws. You may not copy, modify, or distribute Platform content without permission.

8.3 Feedback

Any suggestions, ideas, or feedback you provide about the Platform may be used by Sparklz without compensation or attribution.

9. Compensation and Payment

9.1 Campaign Compensation

Compensation for campaigns is determined by Clients and specified in campaign terms. Sparklz facilitates payment but does not guarantee any minimum compensation.

9.2 Payment Terms

  • Payments are processed after campaign completion and content approval
  • Payment timelines are specified in individual campaign terms, typically within 30-60 days of campaign completion
  • You must provide accurate payment information and comply with tax requirements
  • Minimum payout thresholds may apply

9.3 Taxes

You are solely responsible for reporting and paying all applicable taxes on compensation received through the Platform. Sparklz may provide tax documentation as required by law.

9.4 Disputes

Payment disputes must be reported within 30 days of the expected payment date. Sparklz will investigate disputes but is not liable for Client payment failures.

10. Platform Fees

Sparklz may charge service fees or commissions on campaign payments. Current fee structures are disclosed in your account settings or campaign enrollment details. We reserve the right to modify fees with 30 days' notice.

11. Termination and Suspension

11.1 Termination by You

You may terminate your account at any time through account settings or by contacting support. Termination does not affect obligations from active campaigns.

11.2 Termination by Sparklz

We may suspend or terminate your account immediately if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Damage the reputation of Sparklz or Clients
  • Fail to meet campaign obligations repeatedly
  • Provide false information

11.3 Effect of Termination

Upon termination:

  • Your access to the Platform will cease
  • Pending payments for completed work will be processed per normal timelines
  • Content licenses granted under campaign terms survive termination
  • Confidentiality obligations continue

12. Disclaimers

12.1 Platform Provided "As Is"

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

12.2 No Guarantee of Campaigns or Income

Sparklz does not guarantee:

  • Availability of campaigns
  • Selection for any campaign
  • Any minimum level of income or compensation
  • Continuous or uninterrupted Platform access

12.3 Third-Party Content

We are not responsible for content, products, or services provided by Clients or third parties.

13. Limitation of Liability

To the maximum extent permitted by law, Sparklz and its officers, directors, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages exceeding the total compensation you received through the Platform in the 12 months preceding the claim

14. Indemnification

You agree to indemnify, defend, and hold harmless Sparklz and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Platform
  • Your content or campaign participation
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of applicable laws or regulations

15. Dispute Resolution

15.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at team@sparklz.ai to attempt informal resolution.

15.2 Arbitration

Any disputes not resolved informally shall be resolved through binding arbitration in accordance with the rules of the Korean Commercial Arbitration Board. Arbitration shall be conducted in Seoul, South Korea.

15.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions or class arbitrations.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to conflict of law principles.

17. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes through the Platform or email at least 30 days before changes take effect. Continued use of the Platform after changes take effect constitutes acceptance of the modified Terms.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any campaign-specific terms, constitute the entire agreement between you and Sparklz.

18.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

18.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

18.4 Assignment

You may not assign your rights under these Terms. Sparklz may assign its rights without restriction.
